The company is currently considering moving its incorporation from Delaware to an undisclosed state, with Texas emerging as a potential candidate among other states.
Insiders, who wished to remain anonymous due to the sensitive nature of the discussions, revealed that the exploratory process is still in its infancy, and no definitive decision has been reached. It is important to note that Meta's main corporate headquarters will continue to be located in Menlo Park, California, regardless of the outcome.
A spokesperson for Meta declined to provide a comment on the matter. This news comes on the heels of a report from the Wall Street Journal, which indicated that the company might be considering exit from Delaware in favor of reincorporation in Texas or other locations.
Since its inception as Facebook in 2004, the firm has been incorporated in Delaware, which has customary impacted legal proceedings. Notably, a considerable number of shareholder lawsuits are filed in Delaware courts, and Meta is presently facing litigation in the state related to various cases, including one stemming from a user privacy scandal involving the voter profiling firm Cambridge Analytica in 2018.
